Private Deployment Addendum
Last updated: November 2, 2026
This Addendum applies when an order form or signed agreement covers a QuantJourney Backtester private deployment or Enterprise pilot. It supplements the Terms of Use. The signed agreement controls the scope, deliverables, fees and operating responsibilities.
1. Scope and governing documents
This Addendum concerns QuantJourney Backtester software and the deployment, integration or support services expressly included in your agreement. It does not include a Data Gateway subscription, market-data license or managed service unless your agreement expressly includes it. An individually signed agreement controls over this Addendum and the Terms of Use for the subject it covers.
2. Agreed deliverables and availability
The agreement identifies the components and versions supplied, deployment architecture, integration work, documentation, acceptance requirements and delivery timing. Private infrastructure, research-workspace features, internal-data integration, distributed execution and team onboarding are included only where agreed.
The public engine is available under its open-source license. Proposed PRO and Enterprise capabilities are not generally available commitments. A website description or pilot enquiry does not create a subscription, confirm a delivery date or add a feature to your agreed scope.
3. Open-source software
The public quantjourney-bt package remains licensed under
Apache License 2.0.
This Addendum does not limit rights granted by that license. Other open-source components retain their own
licenses and notices. You do not need a commercial agreement merely to install and run the public engine locally.
4. Private components and intellectual property
The applicable agreement states the rights to use any non-public software, hosted interface or other proprietary material delivered with the private installation. Those rights do not transfer ownership of QuantJourney materials. Open-source software, your research content and third-party materials remain subject to their respective ownership and license terms.
5. Deployment and operating responsibilities
The agreement identifies who installs and operates each component and who provides infrastructure, networking, storage, backups, updates and incident response. Security settings, administrative access, retention and recovery requirements form part of the agreed deployment scope. An installation inside your environment does not, by itself, include ongoing QuantJourney operation of that environment.
6. Your code, data and research content
You retain your rights in strategy code, parameters, datasets, configurations and other research content. Running the open-source engine locally does not, by itself, transmit that content to QuantJourney. Content you deliberately provide through a hosted service, support channel or agreed integration is processed under the Terms of Use, Privacy Policy and any applicable data-processing agreement.
You are responsible for having the rights to use and provide your inputs. Specify access to sensitive data, support access and any external AI or cloud connection in the deployment requirements.
7. Data sources and third-party services
A Backtester private deployment does not grant rights in third-party data. Provider subscriptions, exchange permissions, redistribution rights and access to optional QuantJourney data services require the applicable licenses and agreements. Coverage, observation dates, revisions, corporate-action treatment and point-in-time characteristics depend on the selected sources and datasets.
8. Fees, updates and support
Fees, taxes, payment dates, renewal, cancellation, support coverage and update delivery follow the applicable order form or signed agreement. Website pilot estimates and planned prices are indicative and non-binding. No uptime, response-time, deployment-time or connector-maintenance commitment is created by this Addendum. Such commitments must appear in the applicable agreement.
9. Research and validation responsibility
QuantJourney Backtester provides software for research and review. Backtests, optimization, walk-forward results, reports and metrics depend on the selected inputs and assumptions. You remain responsible for independent validation, temporal correctness, cost and execution assumptions, model governance and your decisions. QuantJourney does not provide investment advice, execute trades or hold client assets through these services. The research disclaimers in the Terms of Use continue to apply.
10. Term, records and termination
The commercial term, renewal, termination, record export and any transition assistance follow your agreement and the Terms of Use. You are responsible for keeping the research records and backups you require. Expiry of a commercial service does not remove rights independently granted by an open-source license.
11. Liability, governing terms and contact
The warranty disclaimers and liability limits in the Terms of Use apply, subject to any individually signed agreement and rights that applicable law does not allow the parties to exclude. The commercial agreement identifies the contracting entity, governing law and dispute forum for that relationship.
